1. Introduction & Acceptance
Welcome to Aqari (the "Service"), an AI-powered sales and operations platform for GCC real-estate developers, operated by Aqari FZ-LLC ("Aqari", "we", "us"). By creating an account, accessing the platform, or using any feature of the Service, you ("Customer") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.
These Terms constitute a legally binding agreement. You represent that you have the authority to enter into this agreement on behalf of yourself or the organisation you represent.
2. Definitions
- Customer — the legal entity or individual who creates an Aqari workspace and is responsible for compliance with these Terms.
- Service — the Aqari platform, including the web dashboard, AI chat widget, admin assistant, CRM modules, API, and all associated software.
- Customer Data — all data, content, and information uploaded, submitted, or generated within a Customer's workspace, including leads, deals, documents, and chat transcripts.
- Sub-processors — third-party providers engaged by Aqari to process Customer Data in order to deliver the Service (see Section 9).
- Platform AI — the large-language-model and AI inference capabilities integrated into the Service, currently powered by OpenAI API.
3. Eligibility & Account
- You must be at least 18 years old and legally capable of entering into a binding contract in your jurisdiction.
- Each workspace is associated with one primary Customer account. You are responsible for all activity performed under your credentials and those of team members you invite.
- You agree to provide accurate, complete, and current registration information and to keep it up-to-date. Providing false information may result in immediate termination.
- You are responsible for maintaining the confidentiality of your password. Notify us immediately at hello@tryaqari.ai if you suspect unauthorised access.
4. Service Description
The Service provides, subject to the plan you subscribe to:
- AI Chat Widget — a customisable, bilingual (Arabic / English) chat widget embeddable on your public website that answers buyer enquiries using your project data.
- Admin AI Assistant — a read-only natural-language interface to your dashboard data (leads, deals, payments, analytics).
- CRM & Pipeline — lead management, deal tracking, booking workflows, and KYC document collection.
- AI Voice (coming soon) — real-time voice-to-voice conversations via the widget.
- Integrations — WhatsApp Business, Stripe payment collection, Spider and Tavily web search, Resend transactional email, and CSV import/export.
- Analytics — funnel, conversation, revenue, and cohort reporting.

5. Acceptable Use
You agree not to:
- Use the Service for any purpose that is unlawful or prohibited by applicable UAE or GCC law;
- Upload, transmit, or store content that infringes intellectual property rights, defames any person, or constitutes hate speech;
- Use the Service to harass, threaten, or defraud any person;
- Attempt to reverse-engineer, decompile, disassemble, or extract source code from the Service;
- Probe, scan, or test the vulnerability of any Aqari system without prior written permission;
- Circumvent or disable any authentication, security, or rate-limiting controls;
- Use automated means (other than the official API) to access or scrape the Service;
- Resell, sublicense, or white-label the Service to third parties without Aqari's prior written consent;
- Use the Platform AI to generate content that is misleading, discriminatory, or in violation of OpenAI's usage policies;
- Process the personal data of EU/EEA or UK residents through the Service unless you have a lawful basis to do so under applicable law.
Aqari reserves the right to remove content or suspend access for violations of this section without prior notice.
6. Fees & Billing
- The Service is offered on a subscription basis. The Free plan is provided at no charge subject to usage limits. Pro and Enterprise plans are billed monthly or annually as selected at checkout.
- All fees are quoted in USD and are exclusive of any applicable taxes (including UAE VAT, if applicable). You are responsible for paying any applicable taxes.
- Subscription fees are billed in advance. If a payment fails, we will retry and may suspend access after a reasonable grace period.
- You may cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of the then-current billing period; no partial refunds are issued except where required by law.
- Aqari reserves the right to change plan pricing on 30 days' written notice. Continued use after the effective date constitutes acceptance of the new pricing.

7. Customer Data & Ownership
- You retain all ownership of and intellectual property rights in Customer Data.
- You grant Aqari a limited, worldwide, non-exclusive licence to host, copy, process, and transmit Customer Data solely as necessary to provide the Service and as described in our Privacy Policy.
- You represent and warrant that you have all rights necessary to grant this licence and that Customer Data does not violate any third-party rights or applicable law.
- Upon termination, Customer Data will be deleted from production systems within 30 days and from backup stores within a further 30 days, unless we are legally required to retain it.
8. AI Features & Limitations
- Platform AI outputs are generated probabilistically and may be inaccurate, incomplete, outdated, or contextually inappropriate.
- You are solely responsible for verifying AI-generated outputs before relying on them, including for financial projections, legal advice, property valuations, or representations to buyers.
- Aqari makes no warranty that AI outputs will be error-free or suitable for any particular purpose.
- We do not train the underlying LLMs (e.g. GPT-4) on your Customer Data. API calls are made with data-retention opt-out flags enabled. See our Privacy Policy for details.
- Real-time search features (powered by Tavily and Spider) may return content from third-party websites that Aqari does not control or endorse.
9. Third-Party Services
The Service integrates with the following third-party providers, each subject to their own terms and privacy policies:
- OpenAI — AI inference (chat, embeddings, voice). openai.com/policies
- Stripe — Payment processing. stripe.com/legal
- Spider / Spider Cloud — Web crawling and content extraction.
- Tavily — Real-time web search.
- Resend — Transactional email delivery. resend.com/legal
- WhatsApp Business (Meta) — Messaging channel. developers.facebook.com/terms
- Cloudflare — CDN, DDoS protection, DNS.
- Vercel — Frontend hosting.
- Render — Backend hosting.
Aqari is not responsible for the availability, accuracy, or practices of these providers. Your use of any integrated third-party service is governed by that provider's terms.
10. Service Levels
- Aqari provides the Service on a best-effort basis. We target 99.5% monthly uptime for paid plans but do not guarantee any specific service level.
- Planned maintenance windows will be announced via in-product notice or email with at least 24 hours' advance notice where practicable.
- Aqari is not liable for outages caused by third-party infrastructure providers, force majeure, or factors outside its reasonable control.
11. Suspension & Termination
By Aqari: We may suspend or terminate your access immediately, with or without notice, if: (a) you materially breach these Terms; (b) your use creates legal or security risk; (c) you fail to pay fees when due; or (d) we are required to do so by law.
By Customer: You may terminate your account at any time via the dashboard. Termination does not entitle you to a refund of prepaid fees.
Effect: Upon termination, your right to access the Service ceases immediately. Sections 7, 8, 12, 13, 14, 15, 16, and 17 survive termination.
12. Intellectual Property
- Aqari owns all right, title, and interest in the Service, including the platform software, AI models, brand, and all platform-generated content (excluding Customer Data).
- Nothing in these Terms transfers any intellectual property rights to you, except the limited licence to use the Service during your subscription.
- Customer owns all Customer Data and any content you generate using the Service, subject to the licence granted in Section 7.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. AQARI DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- AQARI'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO AQARI IN THE 12 MONTHS PRECEDING THE CLAIM.
- IN NO EVENT SHALL AQARI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
These limitations apply regardless of the theory of liability (contract, tort, negligence, or otherwise).
15. Indemnification
Each party agrees to indemnify, defend, and hold harmless the other party and its officers, directors, employees, and agents from and against any claims, losses, damages, and expenses (including reasonable legal fees) arising from: (a) the indemnifying party's breach of these Terms; or (b) the indemnifying party's gross negligence or wilful misconduct. Customer additionally indemnifies Aqari against claims arising from Customer Data or Customer's use of the Service in violation of applicable law.
16. Confidentiality
Each party agrees to keep confidential the non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the context. Neither party shall disclose such information to third parties without the other's prior written consent, except as required by law or to authorised sub-processors under obligations of confidentiality. This obligation survives termination for three years.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the DIFC Courts. Before initiating formal proceedings, the parties agree to attempt resolution through good-faith senior management negotiations for a period of 30 days.
18. Changes to Terms
We may update these Terms from time to time. For material changes (e.g. changes to pricing, liability caps, or governing law), we will provide at least 30 days' email notice to the primary account email address. For minor changes, we will update the "Last updated" date. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
